1. Introduction

Welcome to Alternet ISP Billing System ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our ISP management platform and related services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services.

2. Account Registration

1. Eligibility: You must be at least 18 years old to use our Services. By registering, you represent and warrant that you meet this requirement.
2. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3. Accuracy: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3. Service Usage

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or networks
• Interfere with the proper functioning of the Services
• Use the Services to transmit any viruses or harmful code
• Reverse engineer, decompile, or disassemble any portion of our Services

We reserve the right to suspend or terminate your access to the Services for any violation of these Terms.

4. Payments and Billing

1. Fees: You agree to pay all fees specified in your service plan. Fees are non-refundable except as required by law.
2. Taxes: You are responsible for all applicable taxes, which will be added to your payments as required.
3. Renewals: Services automatically renew for successive periods unless canceled before the renewal date.

5. Intellectual Property

All content and technology comprising the Services are our property or the property of our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services according to these Terms.

You may not use our trademarks, logos, or branding without our express written permission.

6. Data Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your information.

By using the Services, you consent to our collection and use of data as outlined in our Privacy Policy.

7. Customer Compliance and Regulatory Responsibility

7.1 Independent Business Operations

Alternet ISP Billing System provides software and related technology services only. We do not operate, manage, control, supervise, or participate in the provision of internet services, telecommunications services, payment services, or any other regulated activities conducted by our customers.

Each customer ("Tenant", "ISP", or "Subscriber") operates as an independent business and is solely responsible for its own operations, products, services, pricing, customer relationships, and legal obligations.

7.2 Compliance with Laws

The Tenant is solely responsible for ensuring that its use of the Services complies with all applicable laws, regulations, licensing requirements, industry standards, governmental directives, court orders, and regulatory obligations in every jurisdiction in which it operates.

This includes, without limitation:

• Telecommunications and internet service provider regulations
• Licensing and authorization requirements
• Consumer protection laws
• Data protection and privacy laws
• Tax laws and reporting obligations
• Anti-money laundering and anti-fraud requirements
• Electronic communications regulations
• Lawful interception, data retention, and government reporting requirements
• Any other local, national, regional, or international legal obligations applicable to the Tenant's business

Alternet does not provide legal, regulatory, tax, accounting, or compliance advice, and the Tenant should seek professional advice where necessary.

7.3 Licenses and Permits

The Tenant acknowledges that it is solely responsible for obtaining, maintaining, and renewing all licenses, permits, approvals, registrations, certifications, and authorizations required to lawfully operate its business.

Alternet makes no representation or warranty that use of the Services satisfies any regulatory or licensing requirement in any jurisdiction.

7.4 Customer Data and Subscriber Information

The Tenant is solely responsible for the collection, storage, processing, security, accuracy, and lawful use of all subscriber, customer, payment, network, traffic, and personal data entered into or processed through the Services.

The Tenant warrants that it has obtained all necessary rights, consents, and legal authority required to process such information.

7.5 Indemnification

The Tenant agrees to defend, indemnify, and hold harmless Alternet, its owners, directors, officers, employees, contractors, affiliates, successors, and agents from and against any claims, actions, investigations, proceedings, liabilities, damages, fines, penalties, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• The Tenant's business operations
• The Tenant's customers or subscribers
• Any violation of applicable laws or regulations by the Tenant
• Any failure by the Tenant to obtain required licenses or approvals
• Any dispute between the Tenant and its customers, suppliers, partners, regulators, or third parties
• Any misuse of the Services
• Any content, data, or information submitted by the Tenant

7.6 Regulatory Investigations and Government Requests

Alternet shall not be responsible for responding to regulatory inquiries, investigations, enforcement actions, audits, or legal proceedings relating to the Tenant's business activities except as required by applicable law.

The Tenant remains solely responsible for all regulatory reporting, compliance filings, and responses to government authorities.

7.7 No Responsibility for Internet Service Operations

Alternet is a software provider only and is not responsible for:

• Network outages
• Internet service quality
• Service interruptions
• Customer complaints
• Network security incidents
• Subscriber disputes
• Billing disputes between the Tenant and its customers
• Telecommunications compliance obligations
• Any operational decisions made by the Tenant

All such responsibilities remain solely with the Tenant.

7.8 Limitation of Responsibility

To the fullest extent permitted by law, Alternet shall have no liability arising from or related to the Tenant's failure to comply with any law, regulation, licensing requirement, or governmental directive applicable to its business operations.

The Tenant acknowledges that compliance obligations vary by jurisdiction and agrees that it bears sole responsibility for determining and satisfying all such obligations.

8. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

Our total liability for any claims under these Terms shall not exceed the amount you paid us for the Services in the six months preceding the claim.

Disclaimer of Warranties: Alternet provides the Services on an "as is" and "as available" basis. We do not warrant that the Services will be uninterrupted, error-free, secure, or suitable for any particular regulatory or business purpose. The Customer assumes all risks associated with its use of the Services.

9. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes through our website or via email.

Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.
